1. Acceptance of Terms

By creating an account or using the MarNexus platform (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms form a legally binding agreement between you and MarNexus. Please read them carefully before using the platform.

2. Description of the Service

MarNexus is a web-based marketing platform that allows small business owners to manage their marketing from a single dashboard. Features include connecting social media and marketing accounts, creating and publishing content, running ad campaigns, managing customer contacts, and viewing performance analytics.

The Service is available at app.marnexus.com.

3. Eligibility

To use MarNexus, you must:

• Be at least 18 years of age.

• Have the legal authority to manage and operate the business accounts you connect to the platform.

• Not be prohibited from using the Service under any applicable law.

By creating an account, you represent and warrant that you meet all of these requirements.

4. User Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account login credentials and for all activity that occurs under your account. If you suspect unauthorized access to your account, notify us immediately at support@marnexus.com.

You agree to provide accurate and complete account information and to keep that information current. MarNexus is not liable for any loss or damage resulting from your failure to maintain account security.

5. Acceptable Use

You agree to use MarNexus only for lawful purposes and in compliance with these Terms. You agree not to:

• Post, publish, or distribute content that is illegal, defamatory, harassing, fraudulent, or that infringes the intellectual property rights of any third party.

• Send unsolicited commercial messages (spam) to any person who has not given their consent to receive them.

• Violate the terms of service, community standards, advertising policies, or developer policies of any third-party platform connected to MarNexus, including Meta (Facebook and Instagram).

• Use the Service to collect data or content from third-party platforms in any way that violates those platforms’ terms.

• Attempt to gain unauthorized access to any portion of the Service or its related systems.

 

Email and SMS Compliance Is Your Responsibility

When you import contact lists and use MarNexus to send email or SMS campaigns, you are solely responsible for ensuring you have obtained all legally required consents from your recipients prior to contacting them. This includes compliance with the CAN-SPAM Act for commercial email and the Telephone Consumer Protection Act (TCPA) for SMS and text message communications. MarNexus provides the tools to send messages; compliance with applicable laws governing those messages is entirely the sender’s obligation.

6. User Content Ownership

You retain full ownership of all content you create within MarNexus, including posts, captions, images, videos, and campaign materials (“User Content”).

By using the Service, you grant MarNexus a limited, non-exclusive, royalty-free license to store, process, and transmit your User Content solely as necessary to provide the features you have activated — for example, to publish a post to your connected Facebook Page or Instagram account on your behalf. This license terminates when you disconnect the relevant account or delete the content.

MarNexus does not claim ownership of your content and will not use it for any purpose beyond operating the Service for you.

7. Third-Party Platforms

MarNexus integrates with third-party platforms, including Meta (Facebook and Instagram). Your use of those platforms through MarNexus is subject to each platform’s own terms of service and policies, in addition to these Terms.

MarNexus is not responsible for changes to third-party platform policies, interruptions to third-party platform services, or any actions taken by third-party platforms with respect to your accounts.

8. Regulated Industries

MarNexus provides marketing tools only and does not provide legal, financial, medical, compliance, or professional advice of any kind.

​

If you operate in a regulated industry — including but not limited to financial services (subject to FINRA and SEC rules), healthcare (subject to HIPAA), legal services, real estate, or insurance — you are solely responsible for ensuring that your use of the platform, and all content you create and publish through it, complies with all applicable laws, regulations, licensing requirements, and professional standards governing your industry.

MarNexus makes no representation that the platform is approved or suitable for any specific regulatory context. It is your responsibility to consult qualified legal or compliance counsel before using the platform in a regulated context.

9. Disclaimers and Limitation of Liability

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

MarNexus does not warrant that the Service will be available at all times, uninterrupted, or error-free, or that the results obtained through the Service will meet your specific expectations.

​

To the fullest extent permitted by applicable law, MarNexus and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages of any kind arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

​

Our total aggregate liability to you for any and all claims arising from or related to these Terms or the Service shall not exceed the total amount you paid to MarNexus in the twelve (12) months immediately preceding the claim giving rise to liability.

10. Termination

You may close your account at any time from your account settings. Upon termination, your access to the Service will end immediately, and your data will be deleted in accordance with our Privacy Policy.

MarNexus reserves the right to suspend or terminate your account at any time, with or without notice, if we determine in our sole discretion that you have violated these Terms, that your use poses a risk to other users or to the platform, or as required by law.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by posting a prominent notice within the MarNexus platform prior to the changes taking effect. The updated Terms will reflect a new “Last Updated” date at the top of this document.

Continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in New York.
